I asked AI to draft a supply agreement and it looks complete. What should I check first?
Start with structure, then substance. Check every defined term is defined once and used consistently, and that cross references point to the right clauses. Then compare against your firm's precedent: what has the AI left out, such as liability carve outs, termination rights, or data protection terms? Check governing law and any statutory references for your jurisdiction. Finally, test it against the client's instructions. Do you have a firm precedent to compare it with?
